These Terms and Conditions govern your use of our online platform and the services we offer, including music composition, sheet music publishing, bespoke musical arrangements, and literary-inspired soundscapes. All original musical compositions, arrangements, soundscapes, sheet music, and other content created by Cadenza & Quill for you or displayed on our online platform, unless otherwise explicitly agreed upon in writing, remain the intellectual property of Cadenza & Quill or its licensors. You are granted a non-exclusive, non-transferable license to use the commissioned works for the purposes established in our individual service agreements.

You agree not to reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any of the material on our online platform, except as incidentally necessary for your own personal, non-commercial use of our services, or as expressly permitted by a separate written agreement with Cadenza & Quill.

All service requests are subject to acceptance by Cadenza & Quill. We reserve the right to refuse or cancel any order for any reason, including limitations on available resources or errors in the description of the service. Unless otherwise agreed, a portion of the fee may be required upfront for custom services.

We agree to keep confidential all non-public information provided by you in connection with our services, subject to the terms of any separate Non-Disclosure Agreement (NDA) if executed.

Our services are provided "as is" and "as available" without any warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Cadenza & Quill does not warrant that our online platform will be uninterrupted, error-free, or free of viruses or other harmful components.

In no event shall Cadenza & Quill, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use our services; (ii) any conduct or content of any third party on our online platform; (iii) any content obtained from our online platform; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

You agree to defend, indemnify, and hold harmless Cadenza & Quill and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (a) your use and access of our services; (b) your breach of these Terms; or (c) your violation of any rights of a third party.

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
